Re: Formation of Limited Liability Company (LLC) - Premerger Notification

Dear Dick:

This letter will clarify the last paragraph of my letter dated August 16, 1996. It is the intent of the parties that the individuals designated at the formation of the LLC to serve as General Manager, Director of Finance, Director of Marketing, Director of Manufacturing, Director of Technology, and Director of Process Licensing will all be employees or officers of either A or B their parents.
